FREELANCE TECHNICIAN SERVICE AGREEMENT

This Freelance Technician Service Agreement ("Agreement") is made and entered into as of this 08th of Auguest, 2025, ("Effective Date")

BETWEEN:

AcFixMart, a proprietary concern registered under the MSME Act, operating the online platform www.acfixmart.online, having its principal place of operation in Kakinada, Andhra Pradesh, India (hereinafter referred to as the “Company” or “Platform”),

AND:

The individual registering on the Platform as a freelance service provider (hereinafter referred to as the “Technician”).

By registering, accessing, or using the AcFixMart platform as a Technician, you hereby agree to be bound by the terms and conditions of this Agreement.

1. BACKGROUND & PURPOSE

1.1. The Company operates an online platform that acts as a marketplace to connect customers seeking air conditioning ("AC") repair, installation, and maintenance services with independent technicians who provide such services.

1.2. The Technician is an independent professional with skills and experience in providing AC-related services and wishes to use the Platform to connect with potential customers.

1.3. This Agreement sets forth the terms and conditions under which the Technician may use the Platform to receive service bookings.

2. RELATIONSHIP OF THE PARTIES

2.1. Independent Contractor Status. It is expressly agreed that the Technician is an independent contractor and not an employee, agent, partner, or joint venturer of the Company. The Technician shall not have any authority to bind the Company in any respect whatsoever. The Company does not control the manner or method by which the Technician performs the services requested by the customers.

2.2. No Employee Benefits. As an independent contractor, the Technician is not entitled to any benefits provided by the Company to its employees, including but not limited to, salary, provident fund, insurance, paid leave, or any other employment-related benefits.

2.3. Taxes and Compliance. The Technician is solely responsible for all tax liabilities, including income tax and GST (if applicable), arising from the compensation earned through the Platform. The Technician is also responsible for all their own business registrations, licenses, and legal compliance.

3. TECHNICIAN’S WARRANTIES AND OBLIGATIONS

The Technician hereby represents, warrants, and agrees to the following:

3.1. Experience and Knowledge:

The Technician possesses the necessary professional skills, experience, and technical knowledge to proficiently and safely perform all AC-related services offered through the Platform.
This includes, but is not limited to, installation of all types of AC units (split, window, etc.), diagnostics, gas charging, leak repair, PCB repair, regular maintenance, and any other related services.
The Technician will perform all services in a professional and workmanlike manner, adhering to industry best practices.

3.2. Tools, Equipment, and Vehicle:

The Technician will, at their own expense, provide and maintain a complete and professional toolkit required to perform all AC services. The Company will not provide any tools or equipment.
The Technician will, at their own expense, provide and maintain a personal vehicle (e.g., motorcycle, scooter) for transportation to and from customer locations. The Company is not responsible for any transportation costs, vehicle maintenance, fuel, or insurance.

3.3. Safety and Compliance:

The Technician is solely responsible for their own safety while performing services. This includes using appropriate personal protective equipment (PPE), following electrical safety norms, and handling refrigerants and other materials responsibly.
The Technician agrees to comply with all applicable local, state, and central laws and regulations while performing services.

3.4. Customer Interaction and Property Damage:

The Technician agrees to maintain a professional, courteous, and respectful demeanor when interacting with customers, in line with the Company’s Anti-Discrimination Policy.
The Technician expressly acknowledges and agrees that they are solely and exclusively responsible for any damage caused to a customer's property, including but not limited to the customer's AC unit, walls, furniture, or any other belongings, during the performance of a service.
In the event of any such damage, the Technician agrees to resolve the issue directly with the customer, which may include arranging for repairs or providing compensation. The Company shall not be a party to such disputes and shall not be held liable for any claims related to property damage.
The Technician is strongly encouraged to obtain their own liability insurance to cover such potential incidents.

3.5. Adherence to Platform Policies: The Technician agrees to read and abide by all policies and guidelines issued by the Company, including the Terms and Conditions for users and the Privacy Policy, as updated from time to time.

4. COMPANY’S OBLIGATIONS

4.1. The Company will provide the Technician with access to the Platform to view and accept service requests from customers.

4.2. The Company will facilitate the collection of payments from customers on behalf of the Technician for the services rendered, as per the payment terms outlined in Section 5.

4.3. The Company will provide reasonable support regarding the use of the Platform itself.

5. PAYMENT TERMS

5.1. The Technician authorizes the Company to act as a limited payment collection agent to collect service fees from customers.

5.2. The Company shall deduct a pre-disclosed commission fee (the "Platform Fee") from the total service amount collected from the customer.

5.3. The remaining amount ("Technician's Payout") will be disbursed to the Technician's registered bank account on a periodic basis, as communicated by the Company.

5.4. All charges and fees are detailed in the Platform’s pricing policy, which is subject to change at the Company's discretion.

6. INDEMNIFICATION

The Technician agrees to indemnify, defend, and hold harmless the Company, its owner, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to: (a) the Technician's breach of this Agreement; (b) the Technician's negligence or willful misconduct in performing the services; (c) any damage to customer property; (d) any injury sustained by the Technician or any third party as a result of the Technician's work.

7. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Kakinada, Andhra Pradesh, India.

TECHNICIAN ACKNOWLEDGEMENT AND AGREEMENT

By clicking "I Agree," creating an account, or otherwise using the AcFixMart Platform as a Technician, I acknowledge that I have read, understood, and voluntarily agree to be bound by all the terms and conditions of this Freelance Technician Service Agreement.

I hereby warrant that all information I provide to the Platform is true and accurate, and I confirm that I meet all the obligations and requirements set forth herein, particularly regarding my skills, tools, safety, and sole liability for customer property damage.
